Job Description

Primary Function of Position:

This position will provide legal advice and counseling relating to Intuitive’s ESG and SEC reporting initiatives and activities through collaboration with global internal stakeholders, including Human Resources, Finance, Regulatory, Investor Relations, External Affairs, and Facilities. This Senior Counsel will also be a key member of the Corporate Law and Governance group and support the governance aspects of ESG and certain areas of SEC compliance, through support for the Board of Directors and its committees. This individual plays a critical role in the review and preparation of internal and external ESG and SEC reporting documents and communications. The Senior Counsel will also provide day-to-day guidance on existing and emerging environmental and corporate regulations, and advise on trends including in new areas of law.                                                                                                                             

Roles and Responsibilities:

  • Provide guidance and advice to internal stakeholders on ESG and SEC reporting matters. Identify potential risks and provide recommendations for mitigating them. Remain current on ESG and SEC regulations, guidelines, and best practices;
  • Ensure open and effective lines of communication and information reporting at all levels of the organization on key ESG topics;
  • Provide legal and strategic advice on SEC Climate Disclosure Rules, SASB Standards, EU Taxonomy, CSRD, REACH, RoHS Directive, California Proposition 65, and emerging chemicals;
  • Advise on aspects of corporate governance and Securities Exchange Act of 1934, Securities Act of 1933, and Nasdaq listing requirements compliance, including Board of Directors and stockholder matters, proxy statement, ESG Report, Section 16 reporting and compliance, 10-K, 10-Q, 8-K, and other SEC filings;
  • Assist in environmental and ESG issues in responses to public tenders and government contracting on a global basis;
  • Provide advice on core sustainability topics including waste, water, energy, and climate, as well as global ESG frameworks;
  • Direct or support risk assessments, audit activities, third-party relationship management, due diligence, internal investigations, and remediation activities; and
  • Act as a strategic advisor on a wide range of ESG topics, and manage workstreams and teams on program execution, including climate risk strategy, material development and oversight, and project management.


Qualifications

Skills and Job Requirements:

  • BS/BA and JD degree required.
  • At least eight years legal and compliance experience.
  • Strong knowledge and understanding of legal requirements of various U.S. and international environmental laws including, but not limited to, SEC Climate Disclosures, California Climate regulations, EU Directive on Corporate Sustainability Reporting, EPA regulations, and other ESG laws.
  • Familiarity with voluntary reporting frameworks such as the Carbon Disclosure Project, TCFD, and TNFD.
  • Prior legal experience supporting product development, manufacturing, and supply chain preferred, including with respect to REACH, RoHS, California Proposition 65, and emerging chemicals.
  • Prior experience advising public companies on the Exchange Act, Securities Act, and Nasdaq listing requirements.
  • Ability to think strategically to resolve matters effectively and efficiently and to build collaborative relationships with senior management, business leaders, Supple Chain, Legal, and HR, while managing shifting priorities.
  • Exceptional organizational skills, problem-solving abilities, and attention to detail.
  • Ability to manage multiple tasks simultaneously within a rapidly changing environment.
  • Strong writing, presentation, and oral communication skills.
  • Ability to develop and implement cross-functional processes.
  • Some travel will be required.
  • The preference is for candidates that can come to Sunnyvale or Peachtree.

We provide market-competitive compensation packages, inclusive of base pay, incentives, benefits, and equity. It would not be typical for someone to be hired at the top end of range for the role, as actual pay will be determined based on several factors, including experience, skills, and qualifications. The target salary ranges are listed.
